Outsourcing payroll changes the operating model. It does not remove the responsibility to choose a provider that can withstand scrutiny. For employers and agencies, that distinction matters because a payroll arrangement sits at the intersection of worker pay, tax, contracts, reputation and cash flow. A decision made as a simple rate comparison can quickly become a governance issue when the underlying model is not understood.
HMRC has been clear about risks in labour supply chains involving umbrella companies and third-party payroll arrangements. From April 2026, where PAYE is not accounted for correctly, an agency or end client may face liability alongside the business expected to operate payroll. That makes due diligence a practical management control, not a box-ticking exercise completed at onboarding and forgotten.
The warning signs are usually commercial before they are technical. The provider’s rate is implausibly low. The contract is difficult to follow. Nobody can give a straight answer about who employs the worker or who operates PAYE. A tax outcome is described as a benefit rather than a consequence of a clearly explained arrangement. The route from gross pay to net pay is treated as confidential or too complicated for the client to understand. Those are not minor service gaps. They are reasons to pause.
A sensible review starts with direct questions. What is the contractual relationship between every party? Who is accountable for PAYE and National Insurance? What evidence supports the stated tax treatment? How are worker queries and payroll corrections handled? What happens if a regulator, worker or client requests the records? A capable provider will have consistent answers, supporting documents and people who understand the operational reality behind the paperwork.
The business should also look beyond the day one check. Supplier performance changes when ownership changes, processes move, workers transfer or a new payment route is introduced. Good governance keeps the relationship under review and gives finance, HR and operations a route to escalate concerns before the exposure becomes embedded in the workforce.
Genius helps employers and agencies test payroll arrangements through the lens that matters: can the model be explained, evidenced and defended? We help identify control gaps early, before an attractive quote becomes tax debt, a dispute with workers or a reputational problem at board level.
